1. Introduction and Acceptance of Terms

Welcome to Snipnet Technologies. These Terms and Conditions ("Terms") govern your use of the web development, consulting, and design services provided by **Snipnet Technologies** ("we", "us", or "our"). Our website is www.snipnet.name.ng. By engaging our services, you ("Client" or "you") agree to be bound by these Terms, which constitute a legally binding agreement between you and Snipnet Technologies.

2. Scope of Work and Services

  • **Project Definition:** All services will be defined by a formal **Statement of Work (SOW)** or project proposal, which will detail the deliverables, timeline, milestones, and specific scope.
  • **Out of Scope Work:** Any work requested by the Client that falls outside the defined SOW will be considered an amendment or a new project and will require a separate written agreement and may incur additional fees.
  • **Revisions:** We agree to provide a specified number of revisions as detailed in the SOW. Additional revisions may be subject to a standard hourly rate.

3. Client Responsibilities

The Client agrees to provide necessary resources, information, and timely feedback required to complete the project, including:

  • **Content:** All text, images, logos, and digital assets required for the project in a timely manner. Delays in providing content may affect the project timeline.
  • **Access:** Necessary access to hosting accounts, domains, third-party services, or other relevant platforms.
  • **Approval:** Prompt review and sign-off on designs, mockups, and milestone deliverables.

4. Payment and Billing

  • **Pricing:** Project pricing will be fixed as outlined in the SOW or based on an hourly rate agreed upon in advance.
  • **Deposits:** For projects exceeding a specific value (e.g., NGN 100,000), a non-refundable upfront deposit (typically 50% of the total cost) is required before work commences.
  • **Invoicing:** Invoices for outstanding balances or milestone payments are due within **14 calendar days** of issuance.
  • **Late Payments:** Snipnet Technologies reserves the right to suspend work or withhold project delivery (including intellectual property transfer) until all outstanding payments are settled.

5. Intellectual Property (IP) Rights

  • **Client IP:** The Client retains all intellectual property rights to any content, graphics, or materials provided to Snipnet Technologies.
  • **Project IP:** Upon final payment of all outstanding invoices, the Client is granted a worldwide, perpetual, and exclusive license to, or full ownership of (as specified in the SOW), the final website design and code created specifically for the project.
  • **Snipnet IP/Tools:** We retain ownership of any pre-existing code, tools, proprietary systems, or methodologies used to develop the Client's project. A non-exclusive, perpetual license is granted to the Client to use these tools solely in conjunction with the delivered project.

6. Warranties and Limitation of Liability

  • **Post-Launch Warranty:** We provide a **30-day bug-fix warranty** starting from the project launch date, covering any bugs or errors directly caused by our development work. This does not cover client-side modifications, third-party software changes, or hosting issues.
  • **Disclaimer:** Services are provided "as is." Snipnet Technologies expressly disclaims all warranties, express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
  • **Limitation of Liability:** In no event shall Snipnet Technologies be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms or the services provided. Our total liability shall not exceed the total fees paid by the Client for the specific service from which the liability arose.

7. Termination

  • Either party may terminate the agreement with written notice if the other party breaches any material term of these Terms and fails to cure such breach within 14 days of receiving notice.
  • Upon termination, the Client must immediately pay Snipnet Technologies for all work completed up to the date of termination.
  • If the project is terminated by the Client for convenience, any deposit paid is non-refundable.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of **Nigeria**, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
